This Affiliate Agreement (“Agreement”) outlines the terms and conditions under which affiliates (“Affiliate”) may participate in the Meriaky Affiliate Program (“Program”) offered by Meriaky (“Company”), with its principal place of business at 630 Sherbrooke Street, H3A 0B2, Montreal, QC, Canada. By joining the Program, the Affiliate agrees to comply with and be bound by this Agreement.
To enroll in the Program, the Affiliate must submit an application through the Company’s website. The Company reserves the right to accept or reject any application at its sole discretion.
The Affiliate is authorized to promote the Company’s CRM services using only the promotional materials and guidelines provided by the Company.
The Affiliate agrees not to engage in any misleading, unethical, or illegal marketing practices.
The Affiliate will use their unique affiliate code (“Affiliate Code”) provided by the Company for all promotions.
The Affiliate will earn a commission of 20% on the net revenue generated from each subscription purchase made using the Affiliate Code.
Commissions are calculated based on net revenue, excluding taxes, refunds, chargebacks, and other related fees.
Commissions will be paid monthly, with a minimum payout threshold of $10.
Commissions will be processed and paid within 30 days following the end of each calendar month.
Payments will be made via [Payment Method], as specified by the Affiliate during registration.
The Affiliate is responsible for providing accurate payment details and is liable for any payment processing fees.
The Affiliate agrees to act in good faith to promote the Company’s CRM services.
The Affiliate will not make any representations or warranties on behalf of the Company without prior written consent.
The Affiliate will comply with all applicable laws and regulations in promoting the Company’s services.
This Agreement will commence upon acceptance by the Affiliate and will continue until terminated by either party.
Either party may terminate this Agreement at any time, with or without cause, by providing 30 days’ written notice to the other party.
Upon termination, the Affiliate will no longer be entitled to any commissions for sales made after the termination date.
The Affiliate agrees to keep all non-public information about the Company, including but not limited to business strategies, customer data, and commission rates, confidential and will not disclose such information to any third party.
The Company grants the Affiliate a limited, non-exclusive, non-transferable license to use its trademarks, logos, and marketing materials solely for the purpose of promoting the Company’s CRM services under this Agreement.
The Affiliate agrees not to use the Company’s intellectual property in any way that may harm or discredit the Company.
The Company will not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with this Agreement.
The Company’s total liability under this Agreement will not exceed the total commission paid to the Affiliate during the six (6) months preceding the event that gave rise to the claim.
This Agreement will be governed by and construed in accordance with the laws of the Province of Quebec, Canada.Any disputes arising out of or related to this Agreement will be resolved through binding arbitration in accordance with the rules of the Canadian Arbitration Association, and the arbitration will be held in Montreal, Quebec.
The Company reserves the right to amend this Agreement at any time by providing the Affiliate with written notice. Continued participation in the Program following any amendments constitutes acceptance of the revised terms.
This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements or understandings, whether written or oral, regarding the subject matter herein.
By enrolling in the Meriaky Affiliate Program, the Affiliate acknowledges that they have read, understood, and agree to be bound by the terms and conditions of this Agreement.
